Terms for using the PropFlow platform and public website.

By accessing the PropFlow platform, website, or any related service, you agree to be bound by these Terms of Service. Please read them carefully.

Legal Overview
SECTION 01

1. Platform Access & Licence

PropFlow grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business operations relating to property management, leasing, resident communication, and related activities.

Access to specific features depends on your subscription plan (Starter, Growth, or Pro), workspace configuration, and the permissions assigned to your user role. PropFlow reserves the right to modify, suspend, or discontinue any feature with reasonable notice.

You may not sublicense, resell, or commercially redistribute access to the platform. You may not use the platform to provide services to third parties on a bureau or managed-service basis without a separate written agreement.

SECTION 02

2. Account Responsibilities

You are responsible for all activity that occurs under your account and workspace. This includes maintaining the security of credentials, configuring appropriate access permissions for team members, and ensuring all data entered into the platform is accurate, lawful, and obtained with the necessary consent.

You must promptly notify PropFlow if you suspect your account has been compromised or accessed without authorisation. PropFlow is not liable for losses arising from your failure to maintain credential security.

Workspace administrators are responsible for ensuring that tenant, applicant, and owner personal data uploaded to the platform is handled in accordance with applicable data protection laws in their jurisdiction.

SECTION 03

3. Subscription & Billing

Subscription access is billed through Stripe on a monthly or annual basis depending on your chosen plan cadence. Fees are payable in advance and are non-refundable except as required by applicable consumer protection law.

PropFlow may change subscription pricing with at least 30 days' written notice. Continued use of the platform after a price change takes effect constitutes acceptance of the new pricing.

If payment fails, your workspace may be placed in a restricted state. Continued non-payment may result in workspace suspension and data retention per the data retention schedule in the Data Protection Policy.

SECTION 04

4. Acceptable Use

You agree not to use the platform to upload, transmit, or store content that is unlawful, defamatory, fraudulent, or that infringes any third party's intellectual property or privacy rights.

You may not attempt to probe, scan, or test the security of the platform; exploit rate-limiting controls; launch automated attacks; access other workspaces' data; or otherwise interfere with the platform's operation.

PropFlow may suspend or terminate access immediately if it has reasonable grounds to believe a violation of these terms has occurred, without prejudice to any other remedies.

SECTION 05

5. Intellectual Property

All intellectual property in the PropFlow platform — including software, designs, trademarks, documentation, and marketing content — is owned by or licensed to PropFlow and is protected by applicable intellectual property laws.

You retain ownership of all Customer Data you upload to the platform. You grant PropFlow a limited licence to process Customer Data solely to provide the Service. See the Copyright & IP Policy for full details.

SECTION 06

6. Limitation of Liability

To the fullest extent permitted by applicable law, PropFlow's total aggregate liability for any claims arising under or in connection with these terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

PropFlow is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if advised of the possibility of such damages.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

SECTION 07

7. Termination

Either party may terminate the subscription at any time. Termination by you takes effect at the end of the current billing period. Termination by PropFlow for breach takes effect immediately on notice.

On termination, your access to the workspace will be suspended. Workspace data will be retained for 90 days following termination, after which it will be deleted. You may request an export of your data before deletion by contacting support.

SECTION 08

8. Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory local consumer protection law requires otherwise.

For users in jurisdictions with mandatory local governing law provisions (including but not limited to California, the European Union, Australia, and Singapore), those provisions apply to the extent required by law and are not overridden by this clause.

SECTION 09

9. Changes to These Terms

PropFlow may update these Terms of Service from time to time. Material changes will be notified to workspace administrators by email at least 30 days before the effective date. Continued use after the effective date constitutes acceptance.
